1. Who we are and who you are
StudyMade is a product of Frest Systems India Private Limited (“Frest Systems India”, “we”, “us”), a company incorporated in India under the Companies Act, 2013 with CIN U72200MH2019PTC322243 and GSTIN 27AADCF6688F1ZA, having its registered office at Sai Darshan Dham CHS Ltd, C Wing, Flat 5, Old Dombivli, Dombivli (West), Thane, Maharashtra 421202, India. StudyMade is a division and brand of Frest Systems India, not a separate company.
“You” means the coaching institute, tutor or school that subscribes to StudyMade, and the person who accepts these terms on its behalf. That person confirms they are at least 18 years old and authorised to bind the institute. These terms, the Pricing page, the Refund & Cancellation Policy and the Privacy Policy together form the agreement between you and us. Sales Partners and Sales Executives who sell StudyMade work under a separate agreement.
2. The service
StudyMade is a white-label online platform for running an educational institution: student and batch records, attendance, homework and tests, fee tracking and receipts, a parent and student portal that installs on a phone, an institute website, and AI-assisted drafting for teachers. It is offered as StudyMade Coaching (subscription plans) and StudyMade School (quoted per institution). The features in each plan are listed on the Pricing page and inside your workspace.
Your students and parents see your institute’s name and branding on their screens, not ours. We may improve, add or retire features over time; if a change removes something your plan depends on, we will tell you before it happens.
3. Accounts and access
- Your institute’s owner account is created when you are onboarded. You may add staff, students and parents; you decide what each role may do inside your workspace, and you are responsible for the people you give access to.
- Keep passwords and one-time codes confidential. Tell us at once at support@frestsystems.com or +91 90828 81890 if you believe an account has been misused.
- Student and parent logins are issued by your institute for the purpose of following the child’s learning. A learner does not enter into a contract with us by using them.
- You may not resell, sublicense or share the service with another institution, attempt to access another institute’s data, probe or overload the platform, or upload material that is unlawful, infringing or harmful to a child.
4. Your data and your learners' data
Everything you enter about your institute, staff, students and parents remains yours. For learner data you are the data fiduciary and we process it on your instructions; for your institute’s own account and billing details we are the fiduciary. You confirm that you have the right, and any consent the law requires, to enter the personal data you enter, and that where the platform asks a parent or guardian for consent (for example before a learner’s work is sent to an AI model or a homework photo is stored) you will not bypass that step. How we handle personal data is set out in the Privacy Policy, which forms part of these terms.
You can export your institute’s complete data from your workspace at any time, and ask us to erase a learner’s or the whole institute’s records.
Totals and comparisons. You instruct us to derive aggregated, de-identified statistics from the data in your workspace — counts, sums and medians such as a typical fee for your kind of institute in your area — to improve StudyMade and to show institutes how they compare. We use your institute’s own facts (fees, kind of institute, PIN code, class ranges, which modules are on) for this directly. Learner data is used only once it has been added up across at least ten institutes, never as a row about a child, and never with anything that could identify one. Nothing you teach is ever shown to another institute. Your parents and students are told this in the notice in their portal, in your name.
5. Plans, fees and taxes
- Plan prices, add-ons, student capacity packs and AI credit packs are listed on the Pricing page. All prices are in Indian Rupees and include GST at 18% (subscriptions under SAC 997331), except AI credit packs, which are listed before GST with the all-in price beside them. The amount you pay for a subscription is the amount on your quote or on your Subscription & Billing page, with nothing added.
- We issue a GST tax invoice for every payment. If your institute has a GSTIN, add it to your billing profile and it will be printed on the invoice.
- A plan is billed in advance for each billing period. Your billing date is the day of the month your subscription started. Add-ons and capacity packs are billed with the plan each period; AI credit packs are bought once, in advance, and are valid for 12 months.
- Changing plan re-prices your next unpaid billing period at the new plan’s price. Periods already paid for keep the price you paid.
- If we change a list price we will tell you at least 30 days before it takes effect, and it applies from your next billing period after that notice.
6. Payment and recurring charges
You can pay by UPI, debit or credit card, net banking or wallet through our payment partner, Razorpay, or by a UPI transfer to our account that our team records against your invoice. We never see or store your card number or UPI PIN.
- How often: once every billing period — monthly for a monthly plan, yearly for an annual plan — on your billing date.
- How much: your plan price plus any active add-ons and capacity packs, GST included — the same amount shown on your Subscription & Billing page and on the mandate when you set it up. If that amount changes (for example you add a capacity pack), you will be told before the next debit. Your bank or UPI app also sends a pre-debit notice at least 24 hours before each debit, as the RBI requires.
- How to cancel the mandate: at any time, from Subscription & Billing in your workspace, from your UPI app or bank, or by writing to support@frestsystems.com or +91 90828 81890. Cancelling a mandate stops future automatic debits; it does not by itself cancel your subscription, which continues until the end of the period you have paid for.
- Questions or a disputed debit: contact support@frestsystems.com or +91 90828 81890. A payment taken in error is refunded in full.
If a payment fails or is not received, your workspace stays fully open until the end of the paid period. After that it moves to a restricted mode in which your data is safe and readable but new work is limited, until the outstanding amount is paid. We will remind you before and after the due date.
7. Pause, cancellation and refunds
- You can cancel at any time from Subscription & Billing or by writing to us. Cancellation takes effect at the end of the period you have paid for; you keep full access until then, and you can revoke a scheduled cancellation before it happens.
- You can pause a subscription. A paused workspace bills nothing and stays readable through the paid period; resuming inside that period continues your schedule, resuming after it starts a fresh one.
- Every new subscription carries our 60-day money-back guarantee. The full rules, including what is excluded and how refunds are paid, are in the Refund & Cancellation Policy.
8. AI features
Some features draft material — question papers, homework, remarks, lesson plans — using an AI model, and consume AI credits included in your plan or bought in packs. Every AI draft is a draft: a teacher reviews it before it reaches a student, and you are responsible for what you publish. AI output can be wrong, and we do not warrant its accuracy. AI processing happens on servers in India and your prompts are not used to train anyone’s model.
9. Your content, our platform
You keep all rights in your institute’s name, logo, materials and data, and you grant us the licence we need to host, display and process them in order to provide the service to you. We keep all rights in the StudyMade platform, software, designs and documentation. Printing ordered through StudyMade is fulfilled by Frest Prints, a division of Frest Systems India Private Limited, and is always optional.
10. Availability and support
Uptime commitment. We commit to StudyMade being available at least 99.5% of every calendar month, measured in Indian Standard Time. StudyMade is “unavailable” when institute owners, tutors, students or parents cannot sign in or cannot open their workspace, because of a fault in StudyMade or in the hosting we run it on.
These do not count as unavailable time:
- Planned maintenance that we announce inside your workspace at least 48 hours before it starts. We schedule it outside Indian school hours wherever we can.
- Problems with your own internet connection, device or browser, or with a custom domain whose DNS you manage.
- Services run by others that StudyMade connects to, such as payment gateways, SMS and WhatsApp providers, and email delivery, when StudyMade itself is working.
- A suspension under section 12, or events outside our reasonable control.
Status page. Whether StudyMade is working right now, the past 90 days and any incidents are published at studymade.com/status, checked every minute from a region separate from the one StudyMade runs in. It is the record we use for the uptime commitment.
Service credits (Enterprise). If StudyMade is available less than 99.5% of a calendar month, an Enterprise institute may claim a credit on that month’s subscription fee:
- Below 99.5%: 10% of that month’s fee.
- Below 99%: 25% of that month’s fee.
Claim the credit by writing to us within 30 days after the month ends; we apply it to your next invoice. Credits are not paid out in cash, and they are the only remedy for missing the uptime commitment. On every plan, if you believe we have missed it, write to us and we will tell you what happened, how long it lasted and what we have changed.
Backups. Your institute’s records are backed up continuously and can be restored to any point in the last 35 days. Monthly backups are kept for 12 months. Backups are held in India. If you need something restored, write to us.
Support. Support is available by email and phone at support@frestsystems.com or +91 90828 81890, Monday to Saturday, 10:00 to 18:00 IST, and through the Help panel in every screen of your workspace. We send a first reply within 1 working day, and within 4 working hours when your institute cannot use StudyMade at all. Working hours and days are our support hours above. Sales Partners provide first-line help to the institutes they onboard; anything beyond that comes to us.
11. Liability
The service is provided with reasonable skill and care. To the extent the law allows, we are not liable for indirect or consequential loss, loss of profit or loss of data caused by events outside our reasonable control, and our total liability to you under this agreement in any 12-month period is limited to the fees you paid us in that period. Nothing in these terms limits liability that cannot be limited under Indian law.
12. Suspension and termination
We may suspend or end your access if you breach these terms, if an amount stays unpaid after our reminders, or if the law requires it, and we will tell you why. After a subscription ends we keep your institute’s data for 90 days so you can export it, then delete it, except for tax and payment records we must keep by law.
13. Changes to these terms
We may update these terms. The date at the top tells you when they last changed. For a material change we will notify the institute owner inside the workspace or by email before it takes effect; continuing to use StudyMade after that date means you accept the updated terms.
14. Governing law and disputes
These terms are governed by the laws of India. If you disagree with us about them, write to us first; both sides will try honestly to settle it within 30 days. If it is not settled, either side may refer it to a sole arbitrator under the Arbitration and Conciliation Act, 1996, chosen by both sides together or, if we cannot agree within 30 days, appointed as that Act provides. The seat of arbitration is Mumbai, Maharashtra; hearings are held online unless the arbitrator decides otherwise, in English, and the award is final. Either side may still ask a court for urgent interim relief, and nothing here limits any consumer forum you are entitled to approach.
